I wouldn't upgrade mine only because I am not eligible for an upgrade at this time so I would have to pay a lot more for the phone. If I was eligible i probably would get the new one.
I don't know what I would do with my old one. Maybe donate it.
this time they're letting all iphone users upgrade for the same price, regardless of whether or not you're eligible.
If I had a 1st gen or 3G, i'd upgrade. But, since I've got a 3Gs, I'm going to play with the 4.0 software for a little while before deciding on whether or not the hardware is worth the $300.
ETA: I'd sell my phone on ebay, like I do with all old cell phones. You'd be amazed at the prices people will pay for phones. I've never sold one under $100, even when they're several years old. iphones are still bringing some good money out there - especially if you're willing to jailbreak and unlock them.
I "heard" (and this is how it was for a while with the last phone, at least through the end of last year) that as long as you sign a new 2 year contract, you get the discounted price.
I really want to, but I doubt DH would let me. I just got mine in January, and he got his in November.
However, I'm so worried every day that we are going to loose or ruin one of our iPhones and only be able to get another one for a gajillion dollars. If this "new contact = discounted price" at anytime thing is true, that really relaxes me. HOWEVER, they just suddenly ended that last December for the last phone, and now I'm afraid they'll do that again.
Ideally, I'd like to upgrade DH and I, and keep our old iPhones for emergencies. I'm SUPER excited about the video chat because DH travels so much. It's hard to get us both at our computers at the same time to Skype, but we always have our iPhones!
I'm not eligible until about a year from now.
[ETA: They announced that you are eligible if your contract ends any time in 2010 and you sign a new contract. Not sure if that has changed since they debuted the phone though. I plan on getting it next year.]
Also - the iPhone 4 will work on the 3G network. I haven't been able to find out anything about a 4G network or if the 4 will work on it. I'm guessing no. I bet that capability will be available next year though. As of now, AT&T doesn't have a 4G network yet anyway.

you can call *639# from your current iphone and you'll get a text message back to see if you're eligible for an upgrade now. I think if you were going to be eligible at any time in 2010, they'll let you do it now, otherwise the txt message will tell you when you are available.
I just tried it and it said I was eligible.
Yeah a friend told me about that and she found out that she was eligible... but it turned out after further investigation that the phone she was eligible for was the 3Gs, not the 4. Not sure why except her contract isn't up until 2011 either. Does it tell you which phone you can get in the text message?

the number is supposed to be an iphone4 number, so your eligibility should only be reported regarding that phone.
also, the upgrade eligibility is not usually tied to your contract. it's a really complicated algorithm that they don't give out (includes monthly account balance, time you've had your current phone, how long you've been an AT&T customer, etc). The "normal" upgrade eligibility is between 12-18 months, and since contracts are normally 24 months, their dates don't match up at all.
We have the first gen, so we're definitely upgrading. I think we were eligible a year or so ago, but we've been holding out for the iPhone 4.
I'll probably recycle my phone. I've dropped it a few times, so the back of the case is dented. DH's in in excellent condition, so I hope he'll consider selling or donating it.

upgrading just means getting a newer/better phone and getting rid of your old one (however you choose to get rid of it - sell it, trash it, donate it, keep it for a backup, etc).
the 'deal' is that you get a lower price because you're eligible for an upgrade (you've basically stuck with your old phone long enough for AT&T to decide they want to reward you). if you bought a new phone today and then broke it 2 months later, if you go to buy a new phone, the price will be higher because you aren't eligible for a new phone yet, since it's only been 2 months since you're last upgrade.
for iphone4, i believe the 'upgrade' deal is $199/$299 for 16Gb/32Gb respectively. with that 'deal' you have you sign a new 2 year contract. If you aren't eligible for an upgrade right now or if you don't want to sign a new contract, then you pay full price, which i think is $599/$699.
ETA: if you bought your current phone in June '08, you'll be able to upgrade to the iphone4 at the $199/299 rate, as long as you're willing to sign a new 2 year contract.
This makes more sense then as to why it would even be a question. I wasn't even thinking of getting the new one right now, but now I'm tempted!
I am going to wait...
I got my 3gs last June when they announced those phones. It tends to be best to wait until the kinks are worked out first, before upgrading. I do have phone lust though.
