I think we found it - NEED ADVICE (sorta long)

Okay. So that house I wrote about last night that I disliked on the first showing I have decided that I actually like it now that I have seen beyond the cosmetics and the front not being my dream home's front, but still really nice anyway...

So, here's the scoop and I need some opinions.

The home is located in a highly desirable neighborhood and the comps range from the low $340's to the low $3-teens (if that's a suitable word Wink). It was originally listed in September 2011 at $349k. It is now listed for $329k.

Their agent told our gent that they are thinking about lowering the price, but that if we really wanted it, we could offer them $300k and that they would play ball. Sellers have another mortgage and have already moved out of the home. They are retired and very motivated to get out to their new horse farm...

Yesterday, they gave US a verbal offer of $320k. Nothing formal or written.

DH and I ideally would like a home purchase to be closer to $300k, but we are very comfortable with something as high as $320k. We are doing 20% down and a conventional loan. We have no home to sell first and can close anytime they want.

The home was built in 1993. Everything that is updated includes: roof, windows, siding, appliances, AC - all within the past 7 years at various intervals.

Here's my question: The furnace, water heater, water softener, air exchange system, and humidifer (built-in) are all original 1993 fixtures. Knowing this and that they will need replacing pretty soon (next five years) - what would your offer be???
