lawyers.....UCC??

I'm reading the UCC and I'm falling asleep at my desk!  Anyone work with the UCC that can point me in the right direction?  Frankly, I'm not even sure it applies to our situation.....

Re: lawyers.....UCC??

  • I'm not overly familiar with it, but I do occasionally deal with it. And I did take the bar not that long ago, so I have some residual knowledge rolling around in the old noggin. What's the situation?

  • We are opening a web store (t-shirts and bumper stickers and the like.)  We own the merchandise, but it will be stored with the company that is administering the web store (they'll also take care of shipping and ordering and stuff.)  My boss thinks there's a UCC issue in there - a lien of some sort?  He wants me to "modify the contract to include UCC issues."  (thanks for the solid direction, bossy!)  I guess I'm not seeing why we would need a lien on our own goods.  If the administrator takes off with our t-shirts, that's a theft/conversion issue, right?

  • OK, my only knowledge of UCC stuff relates to sale of goods. I have no idea about this type of situation. Weird.

  • My boss is also a lawyer, but never practiced.  He likes to bring up crazy irrelevant issues then make me figure it all out.

Ok then.  Coffee and back to reading UCC!
